Edition EIS

The Edition EIS is a discretionary portfolio management service that gives access to a broad spectrum of mainly later stage leisure businesses that require scale up capital, taking advantage of the potential tax benefits available under the Enterprise Investment Scheme.

The fund has raised and deployed £30m into 19 companies since 2017 with a combined enterprise value in excess of £80m, and targets a £2 tax free return per £1 invested over an investment horizon of 4-7 years.

Investments in unquoted companies carry high risks and investors could lose all funds invested. The value of tax reliefs depends on personal circumstances and may be subject to change in the future. The availability of tax reliefs depends on the investee company maintaining its qualifying status. Fees and Charges

There are no management charges collected from the investor at the point of investment in the case of subscriptions received by a financial adviser. This means that there is 100% allocation of the subscription amount and ensures tax efficiencies can be claimed on this full amount. Edition EIS fees are paid by the Investee Companies and are disclosed in the Information Memorandum and below. The Upfront and Annual Management Fees are only charged once funds are invested  into businesses.

  • Upfront Fee: Each investee company, upon receiving investment from Edition EIS, will pay to the Manager a fee based on each Investor. For advised retail clients, the fee is 2.5% of the investment (for professional clients it is 5.5%, with up to 3% payable as commission to introducing financial intermediaries).
  • Annual Management Fee: Each investee company will pay an annual management fee to the Manager of 2% of the total initial investment for the first 5 years, after which the annual management fee will be halved to 1% of the total initial investment.
  • Performance Incentive Fee: The Manager will be entitled to 20% of all Fund proceeds in excess of £1.20 per £1 invested.
  • Custodian Fee: Annual custodian charges required to meet the costs of the custodian will be charged by the Manager to each investee company quarterly in arrears, this fee will  be equal to 0.15% of the total initial investment.
